Terms of Service — MeridianVolt

1. Agreement to Terms

By accessing or using the MeridianVolt platform ("Service") operated by MeridianVolt ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

MeridianVolt is an AI-powered commercial real estate deal intelligence platform. The Service allows users to upload deal documents and receive automated financial analysis, risk assessments, market data, and investment reports.

3. Not Financial Advice

THE SERVICE DOES NOT PROVIDE INVESTMENT, FINANCIAL, LEGAL, OR TAX ADVICE.

All analyses, reports, scores, projections, and recommendations generated by the Service are computational outputs produced by automated systems. They are intended for informational purposes only and should not be relied upon as the sole basis for any investment decision. The financial models use standard industry assumptions that may not reflect your specific circumstances.

You should always consult with qualified financial advisors, accountants, attorneys, and other professionals before making investment decisions. We make no guarantees about the accuracy, completeness, or reliability of any analysis produced by the Service.

4. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

All activities that occur under your account
Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

5. Subscription and Payments

The Service is offered on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscriptions automatically renew unless cancelled before the renewal date.

Fees are billed in advance on a monthly basis
All fees are non-refundable except as required by applicable law
We reserve the right to change pricing with 30 days' notice
Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled

6. Acceptable Use

You agree not to:

Upload documents you do not have the right to share
Use the Service for any unlawful purpose
Attempt to reverse-engineer, decompile, or extract the source code of the Service
Resell, redistribute, or sublicense access to the Service without authorization
Upload malicious files, malware, or content designed to disrupt the Service
Use automated tools to scrape or extract data from the Service
Misrepresent MeridianVolt analyses as your own professional work without disclosure

7. Intellectual Property

Your Content: You retain ownership of all documents and data you upload to the Service. By uploading content, you grant us a limited license to process, analyze, and store your content solely for the purpose of providing the Service.

Our Content: The Service, including its software, design, algorithms, reports formats, and branding, is owned by MeridianVolt and protected by intellectual property laws. Analysis reports generated by the Service are licensed to you for your personal or internal business use.

8. Data Accuracy and Limitations

The Service relies on data extracted from documents you upload and from third-party data sources (including government databases). While we strive for accuracy:

AI-powered document extraction may contain errors, especially with handwritten, low-quality, or non-standard documents
Financial models use assumptions that may not match actual market conditions
Market data from third-party sources may be delayed, incomplete, or inaccurate
Deal scores and risk ratings are algorithmic outputs, not professional opinions

You are responsible for independently verifying all data and analyses before relying on them.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIANVOLT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless MeridianVolt, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms. Upon termination, your right to use the Service ceases immediately. You may cancel your subscription at any time through your account settings.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after changes constitutes acceptance of the revised terms.
